Storefront Sign Up Agreement
Miramedia Retail Inc. (herein referred to as “Peopletail" or "We" "Us") is pleased to provide you with Storefront ("Storefront"), a service ("Service") that allows you to sell natural health, wellness and lifestyle products through your own Shopify dropshipping website.
In order for you to use our Service, we ask you please review, acknowledge and consent by agreeing to the following:
1. The one-time setup fee to build your Storefront
The one-time setup fee for Storefront is $247+HST, unless order via a promotional discount.
You are responsible to pay this upfront via credit card. Unfortunately, there is no refund for the one-time setup fee.
The Shopify theme we use to build your Storefront is called Debut and you can preview it here: https://themes.shopify.com/themes/debut/styles/default
This fee covers items that include:
- Designing /developing your Storefront based on information you provide such your own logo, colours and about information
- Implementation of our product database application
- Configuring the payment gateway and notifications
2. Clarifying the concept of dropshipping
Products that appear on your Storefront are inventory we manage from our warehouse. Each time you make a sale from your Storefront, we ship these products from our warehouse to your customers. This process is referred to as dropshipping.
3. Only products that are in the Peopletail / Storefront database can be sold on your Storefront
As part of our Service, you cannot list or sell products on your Storefront other than those we provide to you via our database.

Our aim is to provide you with 20,000+ products to sell by the end of 2021.
4. Information needed to build your Storefront
We will provide you with a secure online form to collect information such as your store name, logo, about us content and store hours (if applicable).
We require direct deposit bank information to send your earnings / payouts (as noted in Section 8).
If you are PST/HST registered, we will also require this information.
5. Monthly fees
The monthly fees to use Storefront requires a paid subscription with Shopify that starts at $29/month USD.
We will set up your Shopify website account, and transfer ownership to you after your site is built.

6. Term
The duration of our Service shall begin on the date we transfer the ownership the Shopify site over to you. It will continue on a month-to-month basis. You are not locked into any term contract with Peopletail. Should you decide to terminate, all we ask is that you provide us with thirty (30) days written notice to storefront@peopletail.com.
We will pay you any money owed for sales captured through your Storefront until the final day of using our Service as noted in Section 8..
7. How we handle returns and refunds
We will place a Return Policy in the footer area of your Storefront that outlines a process where customers have a seven (7) day period to apply for a return. All returns are handled on a case-by-case basis. Products cannot be opened or used in any way, and they must be shipped back to our warehouse at the customers expense. If customers products are approved for a refund, the funds will be reimbursed and deducted from your payout.
8. Payouts
All payouts are handled through direct deposit. We require your bank information as noted in Section 4. You will receive a net payout that is calculatedly follows: sales revenue - cost of goods sold -10% fulfillment fee - $15 shipping fee and credit card processing fee.
Based on your Storefront selling products in the range of a minimum 35% margin, all transactions that occur are profitable. The minimum you can earn is 1.8% per transaction and the maximum is 24%. Please watch this video to learn more about how earnings are calculated.. If you are PST/HST registered, your payout will include applicable taxes where you're located in Canada. You are responsible to remit taxes collected. You will receive payouts on the 15th or next business day of each month, for the month prior. For example, if sales occur during the month of November, you will receive your payout on or about December 15th.
9. Collaborator account requirement
After we transfer ownership of Storefront to you, we require continued access to perform the Service. We also need access to handle technical upgrades and implement features that improve your customer's shopping experience. Peopletail owns a Collaborator Account that is linked to your Shopify site for this reason. If at any time we cannot access your site through this Collaborator role because you've directly or indirectly disconnected us, we will contact you to reconnect us.
10. Payment gateway
We use our payment gateway to process Storefront orders as part of our Service. This means we collect the funds from your customers placing orders on your Shopify site. This is required and if at any time the payment gateway is disabled, we may have to pause and / or cancel the Service. If at any time you've directly or indirectly disconnected our payment gateway, we will contact you to provide instructions on how to reconnect it.
11. Warranty and technical support
We will provide you no charge technical and warranty support for Storefront via email to support@peopletail.com or telephone by booking a call via calendly https://calendly.com/peopletail
12. Limited liability
Without limiting the generality of the foregoing, you agree that we are not responsible for any loss arising out of, or in any way connected with (a) delay or inability to access or use the Service; (b) reliance on any content or User Content; (c) the transmission of any computer virus, however occurring; (d) any unauthorized access to, modification or alteration of Content or User Content; (e) any content or User Content sent or received or not sent or received; (f) any transaction entered into through the Service; (g) any infringement of rights, including Intellectual Property Rights; (h) any threatening, defamatory, obscene, offensive, harmful, inappropriate or illegal Content or User Content or conduct of any party; (i) any User Content sent by any third party using and/or included in the Service; (j) termination of your user account or membership; or (k) any delays, interruptions, inaccuracies, errors, omissions or cessation of the Service.
13. Force majeure
We will not be liable for failure or delay in performing any of our Service if such failure or delay is caused by circumstances beyond our reasonable control.
14. Our relationship with you
We are providing the Service as an independent contractor. Nothing shall be construed to state you and us as partners, joint venturers, employer, or principal/agent, nor shall we be considered in any sense a subsidiary of your organization.
15. Compliance with laws
We shall comply with all applicable laws, ordinances, rules, and regulations of federal, provincial, state, local, and other governmental authorities and entities governing the performance of our Service.
Neither party shall, without the prior written consent of the other party (which consent shall not be unreasonably withheld), assign this Agreement by operation of law or otherwise.
17. Mediation
All disputes, claims, and other matters in controversy arising directly or indirectly out of or related to our Service, or the breach thereof, whether contractual or non-contractual, shall be submitted first to voluntary mediation, by written notice to the other party or parties. In the mediation process, the parties will try to resolve their differences voluntarily with the aid of an impartial mediator, who will attempt to facilitate negotiations. The parties agree to discuss their differences in good faith and to attempt, with the assistance of the mediator, to reach an amicable resolution of the dispute.
18. Jurisdiction
This agreement shall be governed by and construed in accordance with the Province of Ontario and shall be subject to the exclusive jurisdiction of the courts thereof and Federal Court of Canada and Supreme Court of Canada.
